GRUPO SAN GERMAN EXPRESS S.A.S ejecuta el Servicio de Transporte de Carga en las condiciones prefijadas en el presente contrato:

  1. PARTES DEL CONTRATO: Son partes del Contrato LA EMPRESA “GRUPO SAN GERMAN EXPRESS S.A.S”, EL REMITENTE Y EL DESTINATARIO.
  1. ORDEN DE FLETE: GRUPO SAN GERMAN EXPRESS S.A.S. entrega al remitente una Orden de flete Nominativa que contiene lo siguiente: Identificación de GRUPO SAN GERMAN EXPRESS S,A.S. Nombre, domicilio e identificación del Remitente, Numero de orden de flete, Origen, fecha y hora de recepción, destino, valor del flflete, declaración del contenido, valor declarado de la carga, declaración del estado de la carga, cantidad de bultos, peso total y volumen total (cm3), nombre, domicilio, teléfono e identificación del destinatario, fecha y hora Recepción por el destinatario, Nombre, identificación y firma de la persona que recibe, Nombre, identificación y firma de la persona que entrega.
  1. COBERTURAS Y PLAZOS DE ENTREGA: GRUPO SAN GERMAN EXPRESS S.A.S. cuenta con un servicio de entrega cuya cobertura y plazos de entrega se encuentran definidos bajo ciertas condiciones y características de la carga, relacionadas con el tamaño, kilos y dimensiones de cada una.
  1. DOCUMENTOS DE CARGA: El Remitente deberá proporcionar a GRUPO SAN GERMAN EXPRESS S.A.S, los documentos que fueren legalmente necesarios para el libre tránsito de la carga. En consecuencia, serán de exclusiva responsabilidad del Remitente los comisos, multas y, en general, cualquier perjuicio que sufra GRUPO SAN GERMAN EXPRESS S.A.S. por estar desprovisto de los documentos antes señalados.
  1. PRECIO DEL FLETE: El precio del flete se fija considerando El peso en kilogramos y/o peso volumétrico, liquidados por valores ya establecidos con anterioridad en una tabla de tarifas, en donde no solo dependerá de la cantidad de carga sino también de su destino.
  1. PAGO DEL FLETE: El precio del flete convenido debe ser pagado por el Remitente. Bajo responsabilidad solidaria de éste, podrá convenirse que el precio del flete sea pagado por el destinatario de la carga. En tal caso, el destinatario deberá pagar el precio del flete como condición para recibir la mercancía. 
  1. OTROS GASTOS: En el caso que durante el transporte GRUPO SAN GERMAN EXPRESS S.A.S. deba pagar multas, aranceles, tasas u otros cargos no establecidos inicialmente respecto de la carga incluida en la orden de flete, el remitente deberá reembolsar estos gastos antes de la entrega o retiro de la carga.
  1. DECLARACIÓN DEL CONTENIDO Y DEL ESTADO DE LA CARGA: EI Remitente estará obligado a declarar en la orden de flete el contenido y el estado de cualquier carga que se encuentre empaquetada, embalada y/o en cajas o cajones. Las guías de despacho o facturas adjuntas no constituyen declaración del contenido ni del estado de la carga. Parágrafo: Acuerdan las partes que GRUPO SAN GERMAN EXPRESS S.A.S, no presta el servicio de empaque y embale de la mercancía objeto del transporte, por lo anterior, no asume responsabilidad alguna por el deterioro de la mercancía debido a las condiciones irregulares de empaquetada y embalada.
  1. DECLARACIÓN DEL VALOR DE LA CARGA: Para todos los efectos del contrato, el remitente deberá declarar el valor de la carga a transportar, GRUPO SAN GERMAN EXPRESS S.A.S. podrá exigir que se acredite el valor en forma fehaciente. También, GRUPO SAN GERMAN EXPRESS S.A.S. podrá verificar la carga, rechazar su valoración o negarse a transportarla.
  1. APERTURA Y RECONOCIMIENTO: GRUPO SAN GERMAN EXPRESS S.A.S. podrá exigir la apertura y reconocimiento de la carga en el acto de la recepción. Si el Remitente se negare permitir la apertura y reconocimiento, GRUPO SAN GERMAN EXPRESS S.A.S. tendrá el derecho de no transportar la carga. La declaración sobre el contenido y/o el valor de la carga solo obligara a GRUPO SAN GERMAN EXPRESS S.A.S. en el caso que se haya verificado la apertura y reconocimiento de la misma. Sin embargo, si GRUPO SAN GERMAN EXPRESS S.A.S. detectare posteriormente, por cualquier medio de comprobación, la presencia de alguna carga prohibida podrá abrirla, separarla del resto de la carga y aplicar el procedimiento de la carga prohibida que se indica más adelante.
  1. PROTECCIÓN DE LA CARGA: Sera de responsabilidad exclusiva del Remitente utilizar los embalajes adecuados para la protección de la carga durante su transporte. GRUPO SAN GERMAN EXPRESS S.A.S. podrá rechazar carga que considere que no está apropiadamente protegida.
  1. RUTA: De conformidad con lo dispuesto en el artículo 195 del Código de Comercio, si durante el traslado de la carga ocurriere un hecho fortuito o de fuerza mayor que impida utilizar la ruta designada, GRUPO SAN GERMAN EXPRESS S.A.S. tiene el derecho legal de rescindir el contrato o continuar por una ruta alternativa. En el caso de usar una ruta alternativa, GRUPO SAN GERMAN EXPRESS S.A.S. podrá cobrar el valor del flete en forma proporcional por la mayor distancia recorrida. De no ser posible usar una ruta alternativa, GRUPO SAN GERMAN EXPRESS S.A.S. deberá depositar la carga en el lugar más próximo al de su destino al que le fue posible acceder por la existencia del hecho fortuito o la fuerza mayor y avisar al Remitente para que, dentro del plazo de cinco días, comunique su decisión a GRUPO SAN GERMAN EXPRESS S.A.S. si la mercancía debe permanecer donde ha sido depositada o regresar al lugar de origen. Con todo, no darán lugar a indemnización al Remitente los atrasos en los tiempos de transporte que puedan derivarse de los obstáculos antes señalados. GRUPO SAN GERMAN EXPRESS se reserva la facultad de encargar a otro u otros transportadores sin previo aviso al remitente el transporte de la mercancía objeto del presente contrato, bajo su responsabilidad sin que por ello se entiendan modificadas las condiciones establecidas en el mismo.
  1. RE-DESTINACIÓN DE LA CARGA: Si en el transcurso del viaje el Remitente quisiere modificar el destino de entrega, deberá previamente acordar con GRUPO SAN GERMAN EXPRESS S.A.S. las condiciones y tarifa. Acordadas éstas, el Remitente deberá devolver el duplicado de la guía para su anulación, GRUPO SAN GERMAN EXPRESS S.A.S, proporcionará una nueva orden de flete.
  1. CAMBIO DE DESTINATARIO: GRUPO SAN GERMAN EXPRESS S.A.S. solo aceptara el cambio de destinatario a solicitud del Remitente y previa devolución del duplicado de la guía para su anulación. En tal caso, GRUPO SAN GERMAN EXPRESS S.A.S proporcionará una nueva orden de flete.
  1. LUGAR DE ENTREGA DE LA CARGA: GRUPO SAN GERMAN EXPRESS S.A.S. deberá entregar la carga en el lugar designado en la orden de flete el remitente.
  1. PERSONA QUE SE ENTREGA LA CARGA: En atención a que la guía que emite GRUPO SAN GERMAN EXPRESS S.A.S. es nominativa, la carga será entregada exclusivamente al destinatario indicado en la orden de flete o a un apoderado suyo debidamente acreditado.
  1. CARGAS PROHIBIDAS: GRUPO SAN GERMAN EXPRESS S.A.S. Prohíbe expresamente el transporte de cargas consideradas legalmente peligrosas de acuerdo a la normatividad colombiana, tales como explosivos, cilindros de gas, gases comprimidos, inflamables, tóxicos, comburentes, infecciosos, radiactivos, nucleares, corrosivos, etc., plaguicida, mercaderías declaradas peligrosas para los vegetales. Igualmente, y en cumplimiento a la normatividad en materia penal GRUPO SAN GERMAN EXPRESS S.A.S. tomará todas las precauciones razonables a fin de impedir que el medio de transporte sea utilizado para cometer delitos tipificados en el Código Penal. Por lo anterior, la carga podrá ser inspeccionada por personal capacitado de GRUPO SAN GERMAN EXPRESS S.A.S. o por las autoridades policiales correspondientes. En el evento que el remitente violare las prohibiciones anteriores éste será el único responsable de todos los daños y perjuicios a las personas o cosas que tengan como causa el transporte de esa carga. En cualquier caso, que se detecte que la carga es de las señaladas precedentemente, GRUPO SAN GERMAN EXPRESS S.A.S. procederá con su entrega a las autoridades respectivas, sin causar ninguna indemnización a favor del remitente.
  1. TRANSPORTE DE DINERO, ALHAJAS, DOCUMENTOS Ú OBJETOS DE VALOR: GRUPO SAN GERMAN EXPRESS S.A.S. no responde en caso alguno por la pérdida o deterioro de dinero, alhajas, documentos mercantiles y/o efectos de gran valor, como cheques, letras, pagarés, vale vistas, títulos de acciones, cuadros, antigüedades o tesoros y que vengan en el interior de sobres, paquetes, cofres o cajones y cuyo real contenido no haya declarado el Remitente al tiempo de entregarlos a GRUPO SAN GERMAN EXPRESS S.A.S. Si el contenido es declarado por el remitente, GRUPO SAN GERMAN EXPRESS S.A.S. podrá aceptar o rechazar la carga. Si la acepta, tendrá la facultad de inspeccionarla, exigir medidas de seguridad y protección especiales y/o exigir los seguros que estime pertinentes.
  1. RESPONSABILIDAD FRENTE AL VALOR DECLARADO: GRUPO SAN GERMAN EXPRESS S.A.S, responderá por el valor declarado en caso de pérdida y daño de la mercancía por su dolo y culpa en el porcentaje establecido por la compañía de seguros. En igual sentido se aclara que GRUPO SAN GERMAN EXPRESS S.A.S no asumirá responsabilidad alguna frente al daño de mercancía que presente un alto daño de riesgo, tales como alimentos perecederos, vidrios etc.
  1. RESPONSABILIDAD FRENTE A PERJUICIOS CAUSADOS POR LAS AERONAVES: Acuerdan las partes que debido a que las aeronaves no son de propiedad de GRUPO SAN GERMAN EXPRESS S.A.S, los perjuicios que llegare a sufrir LA MERCANCIA o LAS PERSONAS que se desplacen en dichas aeronaves serán responsabilidad exclusiva de EL PROPIETARIO de dichas aeronaves, quedando exonerado de toda responsabilidad GRUPO SAN GERMAN EXPRESS S.A.S frente a dichos perjuicios.
  1. ACEPTACIÓN DEL CONTRATO: La aceptación del presente contrato de transporte es tacita y se expresa por el solo hecho del envió.

GRUPO SAN GERMAN EXPRESS S.A.S. executes the Freight Transportation Service under the conditions set forth in this contract:

  1. PARTIES TO THE CONTRACT: The parties to the Contract are THE COMPANY «GRUPO SAN GERMAN EXPRESS S.A.S», THE SENDER AND THE RECIPIENT.
  2. FREIGHT ORDER: GRUPO SAN GERMAN EXPRESS S.A.S. delivers to the sender a Nominative Freight Order containing the following: Identification of GRUPO SAN GERMAN EXPRESS S,A.S. Name, address and identification of the Sender, Freight Order Number, Origin, date and time of reception, destination, value of the freight, declaration of the content, declared value of the cargo, declaration of the state of the cargo, quantity of packages, total weight and total volume (cm3), name, address, telephone and identification of the consignee, date and time Reception by the consignee, Name, identification and signature of the person who receives, Name, identification and signature of the person who delivers.
  3. COVERAGE AND DELIVERY TERMS: GRUPO SAN GERMAN EXPRESS S.A.S. has a delivery service whose coverage and delivery terms are defined under certain conditions and characteristics of the cargo, related to the size, kilos and dimensions of each one.
  4. CARGO DOCUMENTS: The Sender must provide GRUPO SAN GERMAN EXPRESS S.A.S, the documents that are legally necessary for the free transit of the cargo. Consequently, shall be the sole responsibility of the Sender the seizures, fines and, in general, any damage suffered by GRUPO SAN GERMAN EXPRESS S.A.S. for not having the aforementioned documents.
  5. FREIGHT PRICE: The freight price is fixed considering the weight in kilograms and/or volumetric weight, liquidated by values already established previously in a table of rates, where it will not only depend on the amount of cargo but also on its destination.
  6. FREIGHT PAYMENT: The agreed freight price must be paid by the Sender. Under joint and several liability, it may be agreed that the freight price be paid by the consignee of the cargo. In such case, the consignee shall pay the freight price as a condition for receiving the goods.
  7. OTHER COSTS: In the event that during transportation GRUPO SAN GERMAN EXPRESS S.A.S. must pay fines, duties, fees or other charges not initially established with respect to the cargo included in the freight order, the sender must reimburse these expenses prior to delivery or pick up of the cargo.
  8. DECLARATION OF CONTENTS AND CONDITION OF CARGO: Shipper shall be obligated to declare on the freight order the contents and condition of any cargo that is packed, crated and/or boxed. The attached waybills or invoices do not constitute a declaration of the contents or condition of the cargo. Paragraph: The parties agree that GRUPO SAN GERMAN EXPRESS S.A.S, does not provide the service of packing and crating of the merchandise object of the transport, therefore, it does not assume any responsibility for the deterioration of the merchandise due to irregular conditions of packing and crating.
  9. DECLARATION OF THE VALUE OF THE CARGO: For all purposes of the contract, the sender must declare the value of the cargo to be transported, GRUPO SAN GERMAN EXPRESS S.A.S. may require that the value is credited in a reliable manner. Also, GRUPO SAN GERMAN EXPRESS S.A.S. may verify the cargo, reject its valuation or refuse to transport it.
  10. OPENING AND ACKNOWLEDGEMENT: GRUPO SAN GERMAN EXPRESS S.A.S. may demand the opening and acknowledgment of the cargo in the act of reception. If the Sender refuses to allow the opening and recognition, GRUPO SAN GERMAN EXPRESS S.A.S. will have the right not to transport the cargo. The declaration about the content and/or value of the cargo will only bind GRUPO SAN GERMAN EXPRESS S.A.S. in the case that the opening and recognition of the same has been verified. However, if GRUPO SAN GERMAN EXPRESS S.A.S. subsequently detects, by any means of verification, the presence of any prohibited cargo, it may open it, separate it from the rest of the cargo and apply the procedure of the prohibited cargo indicated below.
  11. CARGO PROTECTION: It will be the sole responsibility of the Sender to use adequate packaging for the protection of the cargo during transportation. GRUPO
  12. SAN GERMAN EXPRESS S.A.S. may reject cargo that it considers is not properly protected.
  13. ROUTE: In accordance with the provisions of Article 195 of the Commercial Code, if during the transfer of the cargo a fortuitous event or force majeure occurs that prevents the use of the designated route, GRUPO SAN GERMAN EXPRESS S.A.S. has the legal right to terminate the contract or continue by an alternative route. In the case of using an alternative route, GRUPO SAN GERMAN EXPRESS S.A.S. may charge the value of the freight proportionally for the greater distance traveled. If it is not possible to use an alternative route, GRUPO SAN GERMAN EXPRESS S.A.S. shall deposit the cargo in the closest place to its destination to which it was possible to access due to the existence of the fortuitous event or force majeure and notify the Sender so that, within a period of five days, it communicates its decision to GRUPO SAN GERMAN EXPRESS S.A.S. if the merchandise should remain where it has been deposited or return to the place of origin. However, will not give rise to compensation to the Sender delays in transport times that may result from the obstacles mentioned above. GRUPO SAN GERMAN EXPRESS reserves the right to entrust to another or other carriers without prior notice to the sender the transportation of the goods covered by this contract, under its responsibility, without thereby modifying the conditions set forth in the same.
  14. RE-DESTINATION OF THE CARGO: If in the course of the trip the Sender wants to change the delivery destination, it must previously agree with GRUPO SAN GERMAN EXPRESS S.A.S. the conditions and rate. Agreed these, the Sender must return the duplicate of the waybill for cancellation, GRUPO SAN GERMAN EXPRESS S.A.S., will provide a new freight order.
  15. CHANGE OF RECIPIENT: GRUPO SAN GERMAN EXPRESS S.A.S. will only accept the change of addressee at the request of the Sender and after returning the duplicate of the waybill for its cancellation. In such case, GRUPO SAN GERMAN EXPRESS S.A.S. will provide a new freight order.
    PLACE OF DELIVERY OF THE FREIGHT: GRUPO SAN GERMAN EXPRESS S.A.S. shall deliver the cargo at the place designated in the freight order by the sender.
  16. PERSON TO DELIVER THE CARGO: Since the waybill issued by GRUPO SAN GERMAN EXPRESS S.A.S. is nominative, the cargo will be delivered exclusively to the consignee indicated in the freight order or to a duly accredited proxy.
  17. PROHIBITED CARGOES: GRUPO SAN GERMAN EXPRESS S.A.S. expressly prohibits the transportation of cargoes considered legally dangerous according to Colombian regulations, such as explosives, gas cylinders, compressed gases, flammable, toxic, oxidizing, infectious, radioactive, nuclear, corrosive, etc., pesticides, goods declared dangerous for plants. Likewise, and in compliance with the regulations on criminal matters, GRUPO SAN GERMAN EXPRESS S.A.S. will take all reasonable precautions to prevent the means of transport from being used to commit crimes defined in the Penal Code. Therefore, the cargo may be inspected by trained personnel of GRUPO SAN GERMAN EXPRESS S.A.S. or by the corresponding police authorities. In the event that the sender violates the above prohibitions, he shall be solely responsible for all damages to persons or things that have as a cause the transport of such cargo. In any case, if it is detected that the cargo is one of the above mentioned, GRUPO SAN GERMAN EXPRESS S.A.S. will proceed with its delivery to the respective authorities, without causing any compensation in favor of the sender.
  18. TRANSPORTATION OF MONEY, JEWELS, DOCUMENTS OR VALUABLE OBJECTS : GRUPO SAN GERMAN EXPRESS S.A.S. does not respond in any case for the loss or deterioration of money, jewels, commercial documents and / or effects of great value, such as checks, bills, promissory notes, vouchers, stock certificates, paintings, antiques or treasures and that come inside envelopes, packages, chests or drawers and whose actual content has not declared the Sender at the time of delivery to GRUPO SAN GERMAN EXPRESS S. A.S.. A.S. If the content is declared by the sender, GRUPO SAN GERMAN EXPRESS S.A.S. may accept or reject the load. If it accepts it, it will have the right to inspect it, demand special security and protection measures and/or demand the insurances it deems pertinent.
  19. LIABILITY AGAINST THE DECLARED VALUE: GRUPO SAN GERMAN EXPRESS S.A.S, will respond for the declared value in case of loss and damage of the merchandise due to its fraud and fault in the percentage established by the insurance company. In the same sense it is clarified that GRUPO SAN GERMAN EXPRESS S.A.S will not assume any responsibility for the damage of merchandise that presents a high risk damage, such as perishable food, glass, etc.
  20. RESPONSIBILITY FOR DAMAGES CAUSED BY AIRCRAFT: The parties agree that because the aircraft are not owned by GRUPO SAN GERMAN EXPRESS S.A.S., the damages that the MERCHANDISE or THE PERSONS that travel in such aircraft may suffer shall be the sole responsibility of THE OWNER of such aircraft, GRUPO SAN GERMAN EXPRESS S.A.S. being exonerated from any liability for such damages.
  21. ACCEPTANCE OF THE CONTRACT: The acceptance of this contract of carriage is tacit and is expressed by the mere fact of shipment.
